  • Service Providers: Tools like Google Analytics, Meta Pixel, WhatsApp Business API, and email platforms (only for delivering our services)
  • Advertising Platforms: When running your campaigns, relevant data (such as custom audiences) may be shared with Google Ads or Meta — always with your explicit consent and for your business benefit
  • Legal Obligations: If required by a court order, government authority, or applicable Indian law
  • Business Transfers: In the unlikely event of a merger or acquisition, your data may transfer — you will be notified beforehand

5. Data Retention

We retain your personal data only for as long as necessary for the purposes described in this policy, or as required by law. Enquiry data from non-clients is retained for 12 months. Client data (campaign records, communications) is retained for a minimum of 3 years for financial and legal compliance. After the retention period, data is securely deleted or anonymised.

Significant changes will be communicated via email (if you are an active client) or via a notice on our website. Your continued use of our services after changes constitutes acceptance of the updated policy.

11. Governing Law

This Privacy Policy is governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, and the IT (Amendment) Act, 2008. Any disputes arising from this policy shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh.

Terms of Service

Agreement: By accessing our website, booking a consultation, or engaging PracharGuru Digital Marketing for any service, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

1. The Parties

These Terms constitute a legally binding agreement between you ("Client", "you") and PracharGuru Digital Marketing ("PracharGuru", "we", "us", "our"), a performance marketing firm registered and operating in Indore, Madhya Pradesh, India. These Terms apply to all visitors, enquiries, and clients of PracharGuru.

2. Services

PracharGuru provides digital marketing services including, but not limited to: Google Ads management, Meta (Facebook & Instagram) Ads management, Search Engine Optimisation (SEO), content creation, landing page development, marketing strategy, and performance analytics.

The specific scope, deliverables, timelines, and fees for each engagement are documented in a separate Service Agreement or Proposal provided to the Client prior to commencement. In the event of any conflict, the signed Service Agreement takes precedence over these Terms.

3. Client Responsibilities

For us to deliver results, you agree to:

  • Provide accurate, complete, and timely information about your business, products, and target audience
  • Grant necessary access to advertising accounts, analytics platforms, and website (as applicable)
  • Ensure your business, products, and advertising content comply with all applicable laws and platform policies
  • Respond to queries and approve deliverables within agreed timelines — delays in approvals may affect campaign performance
  • Maintain sufficient ad budget in your advertising accounts as agreed
  • Not hold PracharGuru liable for performance impacts caused by your own operational decisions, product issues, or external market conditions

4. Fees and Payment

  • Service fees are as stated in your individual Service Agreement or Proposal
  • Monthly retainer fees are due on or before the 5th of each calendar month
  • Project-based fees follow the payment schedule specified in the agreement (typically 50% upfront, 50% on delivery)
  • Invoices unpaid beyond 15 days from the due date may attract a late payment charge of 2% per month
  • Ad spend is a separate cost paid directly by the Client to Google/Meta — it is not included in our management fees unless explicitly stated
  • All fees are exclusive of GST, which will be charged additionally at the prevailing rate

We reserve the right to pause or suspend active campaigns in the event of non-payment. This does not relieve the Client of outstanding payment obligations.

5. Performance and Results

PracharGuru operates on a results-driven philosophy. However, you acknowledge and agree that:

  • Digital advertising results are influenced by market conditions, competition, platform algorithm changes, and seasonality — factors outside our direct control
  • No specific revenue outcome, ROAS figure, or number of leads can be guaranteed unless explicitly stated in a signed Performance Agreement
  • Results shared in case studies and marketing materials represent actual client outcomes but are not a guarantee of similar results for every business
  • Our 30-day result and 90-day growth commitments (where offered) are subject to the Client fulfilling all obligations under Section 3

6. Intellectual Property

Upon full payment of all fees, creative assets developed exclusively for your campaigns (ad creatives, copy, landing page designs) become your property. PracharGuru retains the right to use anonymised campaign data and performance metrics for internal analysis and portfolio display.

All proprietary methodologies, frameworks, and internal processes used by PracharGuru remain our exclusive intellectual property and may not be replicated, disclosed, or used outside of the Client's engagement without written consent.

7. Confidentiality

Both parties agree to keep confidential all non-public business information exchanged during the engagement — including strategies, pricing, client data, campaign performance, and business plans. This obligation survives the termination of the agreement for a period of 2 years.

8. Term and Termination

  • Monthly retainer engagements run month-to-month and require 30 days' written notice from either party to terminate
  • Either party may terminate immediately for material breach, provided the breaching party is given 7 days to cure the breach
  • Upon termination, PracharGuru will provide a transition report and transfer account access within 5 business days of receiving final payment
  • Fees paid for the current month are non-refundable upon Client-initiated early termination (see Refund Policy for exceptions)

9. Limitation of Liability

To the maximum extent permitted by applicable law, PracharGuru's total liability to you for any claim arising from these Terms or the services provided shall not exceed the total fees paid by you in the 3 months preceding the claim. PracharGuru shall not be liable for indirect, consequential, incidental, or punitive damages — including loss of profit, revenue, or business opportunity — even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless PracharGuru, its team members, and affiliates from any claims, losses, or damages (including legal fees) arising from: your breach of these Terms; your violation of any third-party right; inaccurate information you provided; or your business's non-compliance with applicable laws or advertising platform policies.

11. Dispute Resolution

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If unresolved, disputes shall be referred to arbitration in Indore, Madhya Pradesh, under the Arbitration and Conciliation Act, 1996. These Terms are governed by the laws of India.

12. Amendments

We reserve the right to update these Terms at any time. Active clients will be notified of significant changes via email at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.

Refund Policy

Our Philosophy: We work hard to deliver measurable results for every client. When we don't meet the agreed standard, we believe in making it right. This policy outlines clearly when refunds apply, what the process is, and what is not eligible for a refund.

1. General Principle

PracharGuru charges for time, expertise, and the management of your digital marketing campaigns. Once work has commenced for a given billing period, the associated fees reflect effort that has already been deployed. Our refund policy is designed to be fair — protecting clients from genuine service failures while accounting for the reality that marketing outcomes are influenced by factors beyond any agency's direct control.

2. When You Are Eligible for a Full Refund

Full Refund Conditions

  • You cancel your engagement within 48 hours of making your first payment, provided no substantial work (campaign setup, account access, strategy preparation) has commenced
  • PracharGuru fails to launch your campaigns within the agreed timeline without communicating a delay in advance
  • A billing error occurred — i.e., you were charged an amount different from what was agreed in your Service Agreement
  • We are unable to deliver the service due to a failure on our end (team unavailability, technical inability) after accepting your payment

3. When You Are Eligible for a Partial Refund

  • You cancel a monthly retainer after the 5th day of the billing month — a pro-rated refund for the unused portion may be considered at PracharGuru's discretion, provided campaigns have been running but the Client has a documented, legitimate reason for early exit
  • A deliverable (creative, landing page, SEO report) is completed but does not meet the specifications agreed in writing — you are entitled to one revision round or a partial refund equivalent to the disputed deliverable's value
  • Service is partially delivered due to circumstances on PracharGuru's side — the refund amount will be proportionate to the undelivered work

4. Non-Refundable Items

Not Eligible for Refund

  • Ad spend paid directly to Google or Meta — these are third-party platforms and all billing disputes must be raised with the respective platform
  • Management fees for months where campaigns were actively running and standard services were delivered, regardless of campaign performance outcomes
  • One-time strategy, audit, or onboarding fees — once delivered, these are non-refundable
  • Fees for completed and approved creative assets (ad copy, designs, videos)
  • Cancellations initiated after 30 days of the billing period, or after the Client has received and utilised deliverables
  • Performance outcomes — lower-than-expected ROAS, leads, or conversions are not grounds for a refund unless a specific guarantee was provided in a signed Performance Agreement

5. Our Performance Commitment

PracharGuru often works on a results-driven model. For clients on our Growth and Scale plans where a performance commitment has been made in writing, the following applies:

  • If we do not deliver the committed metric by the end of the commitment period (typically 90 days), we will continue working at no additional charge until the target is achieved or both parties mutually agree on a revised outcome
  • This does not constitute a cash refund — it is a service continuation commitment
  • The commitment is void if the Client fails to fulfil their obligations (providing assets on time, maintaining ad budget, approving deliverables promptly)

Our team will acknowledge your request within 24 hours and complete the review within 3 business days

Resolution

If approved, refunds are processed to the original payment method within 7 business days. We will inform you of the decision along with the reasoning

7. Disputes

If you are not satisfied with our refund decision, you may escalate the matter for review by our senior management within 7 days of the decision. All escalations should be addressed to [email protected] with "ESCALATION" in the subject line. We are committed to resolving all disputes fairly and promptly. For unresolved disputes, the mechanisms outlined in our Terms of Service (Section 11) will apply.
